Nature of Training. The Owner agrees to provide the Student with instruction in the operation, maintenance, and servicing of recreational vehicle refrigeration equipment and to this end will provide the Student instruction in the repair, servicing, and general maintenance of such equipment. 2. Students Responsibilities. The Student agrees to comply with any rules and regulations established by the Owner. The student acknowledges that the owner retains the right, in owner’s sole discretion, to determine whether student has violated any rule or regulation imposed by owner, and upon such violation, owner may discontinue further training and terminate the relationship without refunding any portion of any fees paid to Owner. 3. Right to Discontinue. If at any time the Student elects to discontinue the instruction prior to making the purchase, or should the Owner determine that further instruction cannot be provided, instruction will cease. 4. Permission: Student gives permission to FRVRTC to use anything related to student’s training for advertising purposes. 5. Liability for Accidents. The Owner shall not be liable to the Student, his/her heirs, executors, or administrators for any damages or redress in any form for any injuries, fatal or otherwise, caused or sustained by the Student. It is understood and agreed that the Student is not the agent, employee, or a subcontractor of the Owner and nothing contained herein should be construed to the contrary. The owner is not responsible for and does not warrant any work performed or to be performed by the student, including but not limited to any acts or omissions of the student performed pursuant to any training or instruction received by the student from the owner, or otherwise. 6. Confidentiality of Trade Secrets and Training. Student agrees that any information provided by the Owners during training or acquired in any manner during the course of instruction is confidential and is not to be disclosed or divulged to any third parties including any person that may be employed by the Student or that the Student is employed by now or at any time in the future unless such disclosure is consented and agreed to by an FRVRTC Owner in writing. The student acknowledges and agrees that the owner shall be entitled to injunctive relief to enforce the terms and provisions hereof. 7. Applicable Law. This Training Agreement is to be construed as made in and shall for all purposes be governed by and construed in accordance with the laws of Kentucky. The student acknowledges that Marshall County, Kentucky, is the proper venue for any legal proceeding brought by either party for enforcement of the terms and provisions hereof, and the student further acknowledges and consents to the Kentucky court’s exercise of personal jurisdiction over student. Should legal action be required, Student will be responsible for all legal fees incurred by either party. STUDENT EQUIPMENT PURCHASE AGREEMENT This agreement made on the date of purchase between Ford’s RV Refrigeration Training Center (FRVRTC) (Owner), and purchaser: WITNESSETH Whereas, as Seller has developed a set of tools unique in design for use in servicing recreational vehicle refrigeration equipment; and, whereas, Purchaser desires to purchase a set of these tools. Tools and Equipment: Seller agrees to sell to Purchaser and Purchaser agrees to buy from Seller the One Customized Tool Set consisting of: 2. Limited Warranty: The items sold hereunder are warranted to be free of defects in material and/or workmanship for a period of thirty (30) days from the date of delivery to Purchaser. Seller will, at its expense and option repair or replace any item that is defective provided Purchaser has notified Seller and has returned the items to FRVRTC for inspection. If upon inspection, Seller has found the item to be defective and covered by this Limited Warranty, the Purchaser’s sole remedy hereunder is limited to the repair and/or replacement of the defective item. This warranty is further contingent upon proper use having been made of the item and it will not apply to any shipping damage or any item that has been misused or abused, or repaired or modified by anyone other than the Seller. 3. Purchaser’s Responsibility: The Purchaser acknowledges the Seller proprietary interest in five of the items listed above and Purchaser agrees to neither himself nor allow anyone else to duplicate, copy, or reproduce same in any manner without the Seller’s written consent. These five items are: “SS-1113 Charging Board Frame”, “MS-1114 Charging Wrench”, “SS-1115 Steel Saw” “FC-1119 Formula Chart” and the “FPM-1120 Ford Procedures Manual”. 4. Confidential Information. For purposes of this Agreement, “Confidential Information” includes, but is not limited to, all information not generally known and available to the public, in spoken, printed, video, electronic, or any other form or medium, whether marked “confidential” or not, relating directly or indirectly to business processes, and shall further include all items as defined in Sections 1 and 4 of this Agreement. This Confidential Information provides Seller with a competitive advantage over others in the marketplace. 5. Trade Secret. Purchaser agrees to maintain the Confidential Information as a trade secret in his or her own repair business. Purchaser agrees not to make, sell, teach or share the Confidential Information with anyone other than the employees of his or her repair business. Purchaser shall require any of his or her employees to keep the Confidential Information as a trade secret also and not make, sell, use, teach, or share it with anyone other than Purchaser. 6. Duration. Purchaser understands and acknowledges that Purchaser’s obligations under this Agreement with regard to any particular Confidential Information shall commence immediately upon Purchaser first having access to such Confidential Information and shall continue until such time as all Confidential Information has become generally known and is available to the public other than as a result of Purchaser’s breach of this Agreement or breach by those acting in concert with Purchaser or on Purchaser’s behalf. Injunctive Relief: It is understood and agreed that notwithstanding any other provisions of this Agreement, Seller has the right to obtain timely injunctive relief to protect its Confidential Information. 7. Legal Fees: In the event, the Seller is required to initiate legal action against the Purchaser for any breach hereof Purchaser agrees to pay Sellers’s cost of collection and a reasonable attorney’s fees. Purchaser agrees to pay all cost of collection including attorney fees, collection fees, and contingent fees to collection agencies of not less than 35%, such contingency fee to be added and collected by the collection agency immediately upon your default and our referral of your account to said collection agency. 8. Severability: If any provision of this agreement shall be determined to be contrary to the law, the remaining portions of the same shall remain in full force and effect. 9. Parties Bound: This Agreement is binding upon the parties and their respective successors and assigns. 10. Enforcement: This Agreement shall be construed and interpreted in accordance with the laws of the Commonwealth of Kentucky. Any dispute shall be brought in federal or state court in the Marshall County Commonwealth of Kentucky. 11. .Federal trade secret enforcement exclusion. An individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that— i. is made in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney; and ii. solely for the purpose of reporting or investigating a suspected violation of law; or iii. is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal. I understand that it is my responsibility to do the things I was taught during training prior to creating the first chemical charge in this charging board. Below are examples but not limited to: 1) Correctly assemble said charging board 2) Make sure all fittings are tight 3) Make sure all fittings have been properly leak checked with a safe non-flammable gas and contain no leaks 4) Make sure the site glass nuts have been torqued to 8 pounds or until it does not leak 5) Make sure the charging board is grounded I also understand that failure to do so can result in bodily injury or death and/or damage to the charging board and other equipment.
